Terms of Service

These Terms of Service ("Terms") govern your access to and use of the websites, products, platforms, and services provided by Vesper Labs ("Vesper Labs", "we", "us", or "our") (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you are using the Services on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to both you and that organisation. If you do not agree to these Terms, you must not access or use the Services.

Where a separate written agreement exists between Vesper Labs and your organisation for a given product, that agreement governs to the extent it conflicts with these Terms.

We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Services in accordance with these Terms and any applicable documentation and order forms.

You agree to use the Services only for lawful business purposes and in compliance with all applicable laws, regulations, and these Terms. We may add, modify, or discontinue features of the Services from time to time as we continue to develop and improve them.

Certain features of the Services require an account. You are responsible for providing accurate registration information and for keeping it up to date.

You are responsible for safeguarding your credentials and for all activity that occurs under your account. You must notify us promptly of any unauthorised use or suspected compromise of your account. We may suspend or restrict access where we reasonably believe an account has been compromised or is being used in violation of these Terms.

You agree not to misuse the Services. Prohibited activities include, without limitation: attempting to gain unauthorised access to systems or data; interfering with or disrupting the integrity or performance of the Services; reverse engineering or circumventing security or usage controls; and using the Services to build a competing product.

You must not use the Services to process unlawful content, to infringe the rights of others, or to generate, facilitate, or distribute content that is harmful, deceptive, or otherwise prohibited by applicable law or our documentation.

You are responsible for ensuring that your use of any AI outputs is appropriate for your context, including reviewing outputs before relying on them for consequential decisions.

The Services, including all software, models, designs, text, graphics, and other materials we provide, and all related intellectual property rights, are and remain the property of Vesper Labs and its licensors. These Terms do not grant you any rights in the Services except as expressly set out here.

You may not copy, modify, distribute, sell, or lease any part of the Services, nor remove or obscure any proprietary notices, except as expressly permitted by these Terms or applicable law. Any feedback you provide may be used by us without restriction or obligation to you.

As between you and Vesper Labs, you retain all rights in the data you or your users submit to the Services ("Customer Data"). You grant us the rights necessary to process Customer Data solely to provide, secure, and support the Services in accordance with these Terms and the applicable customer agreement.

You are responsible for the accuracy, quality, and legality of Customer Data and for having the necessary rights and consents to submit it to the Services. Our handling of personal information within Customer Data is described in our Privacy Policy and any applicable data processing terms.

We strive to keep the Services available and reliable, but we do not guarantee that the Services will be uninterrupted, error-free, or free from delays. Access may be affected by maintenance, updates, or factors outside our reasonable control.

Where a specific availability commitment applies, it will be set out in a service level agreement or order form. We may perform scheduled and emergency maintenance and will use reasonable efforts to minimise disruption.

The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

AI systems can produce outputs that are inaccurate, incomplete, or unexpected. We do not warrant that outputs will be accurate or suitable for any particular purpose, and you are responsible for evaluating outputs before relying on them.

To the maximum extent permitted by law, Vesper Labs and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of the Services.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to these Terms or the Services will not exceed the amounts paid by you to us for the Services giving rise to the claim during the twelve months preceding the event that gave rise to the liability.

You may stop using the Services at any time. We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or if we reasonably determine that your use poses a security or legal risk.

Upon termination, your right to access and use the Services will cease. Provisions that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, and governing law—will continue to apply.

These Terms are governed by and construed in accordance with the laws applicable at Vesper Labs’ principal place of business, without regard to conflict-of-law principles. The courts of that jurisdiction will have exclusive jurisdiction over any disputes arising out of or relating to these Terms, unless otherwise agreed in a signed customer agreement.

Nothing in these Terms limits any mandatory rights you may have under applicable law that cannot be waived by agreement.
